ARTICLE I – CLUB NAME

This document serves as the official Constitution for the first Filipino Triathlon Team in Canada. The official Club name shall be “Filipino Canadian Triathletes (FilCanTri)”.

ARTICLE II – PURPOSE

The purpose of FilCanTri is to build a community of like-minded individuals through endurance sports, particularly triathlon. It is the intention of the team to develop and foster an environment that promotes a healthy lifestyle for all its members.

ARTICLE III – MEMBERSHIP

Membership to FilCanTri will not be limited on heritage. While membership will naturally come from the Filipino community, the team will not discriminate membership based on nationality, race, gender, religion or any form of disability.

1. 1. 1. 1. 1. All members are bound by this Constitution and should adhere to the Code of Conduct as set forth by the team. Membership may be revoked by the Board if any articles of the Constitution or the Code of Conduct are not followed.

1. 1. 1. 1. 2. While the team will not discriminate, membership to FilCanTri must be through sponsorship of any Board Member. Any existing member can refer a new member to any Board Member provided said existing member has:

1. 1. 1. 1. 1. Assessed that the incoming member will be a member of good standing to FilCanTri
            2. Considered that the incoming member will be a good fit for the team, and that no existing member has any conflicting with the new member.

1. 1. 1. 1. 3. All members have the right to participate in all FilCanTri activities, races, training, socials, and volunteering sessions.

1. 1. 1. 1. 4. All members are to pay an Annual Membership Fee of $25. This should be due every 15th of January.

ARTICLE IV – THE BOARD

The Board of FilCanTri shall set the direction of the team. It shall steer the team towards its Mission and Vision Statement. It shall also ensure that this Constitution, and the Code of Conduct that supports it, is followed judiciously.

1. 1. 1. 1. 1. Composition of the Board
               • • • The Board shall be composed of 7 members of good standing within the team. As there are 9 members currently, there would be no replacement should any current member choose to resign their position.
                   • Each member has equal voting rights. Any Board resolution will follow the majority rule.
                   • The Board shall assign a Board Secretary
                     • • • To handle all existing documentary requirements of FilCanTri
                         • The primary coordinator between all Board members
                         • Minute taker for any Board Meetings

• • • • • • • The Board shall assign a Treasurer.
              • • • • To ensure proper fiduciary handling of any FilCanTri funds
            • The Board shall create an Ethics Committee, comprised of 3 members from the Board.
              • • • • This committee shall adjudicate all matters pertaining to member violations against the Code of Conduct of the team.
                    • This committee shall have the authority to conduct any investigation into matters that affect the integrity of the team.
                    • This committee shall have the power to suspend and withhold membership to anyone found culpable in any such investigations.

• • • • • • • The Board shall create a Socials & Volunteering Committee, comprised of 2 members from the Board. These 2 members would then choose 4 members within the team to join this Committee.
              • • • • This committee shall be in charge of planning and coordinating major social events for FilCanTri
                    • Major social events include the Annual Christmas Party, Annual Meet & Greet and all Volunteering Activities

1. 1. 1. 1. 2. Tenure of the Board
               • • While membership to the Board may be resigned any time, the tenure of each Board member shall be indefinite. After this period, an election shall be held to fill up the vacancy.
                   • • • • Should a seat on the Board become vacant, the existing Board members shall convene to decide on the best member to fill in the vacancy.
                         • Rainer Torres, as founding member, has lifetime seat to the Board. Raymond Gana, as first acting chairman of the team, shall also have lifetime membership to the Board.

1. 1. 1. 1. 3. Other functions of the Board
               • • Coordinating, when necessary, with all other sports agencies any matters relating to triathlon
                 • Setting up training plans for all members throughout the season
                 • Fundraising
                 • Arranging for team building and socials
                 • Deciding on matters pertaining to member violation of the Constitution or the Code of Conduct
                 • On an ad hoc basis, create an Election Committee to oversee the implementation of election activities.
                   • • • This ad hoc Committee will be responsible for finalizing list of eligible voters.
                       • This Committee shall set the date of election, and will be responsible for final counting of votes.
                 • Deciding on marketing related items, including Team Kits and jerseys and other triathlon related paraphernalia
                 • Amending this Constitution, whenever necessary
